Teodosia is an Advocate of the High Court of Kenya and specialises in corporate, commercial, and aviation law and for about 20 years worked as an in-house counsel with Kenya Airways (17 years) and Qatar Airways (3 years). She has considerable experience in aviation law, Commercial/Corporate law and practice having supported and advised on many complex legal transactions, including aircraft Lease financing, operating leases, KCAA, KAA, CMA/NSE Regulatory issues and compliance, commercial contracts, and related Corporate work.
Teodosia knows the local and international aviation market well, and in her past role in Kenya Airways has on numerous occasions engaged KCAA on obtaining approvals relating to aircraft and operational requirements. Apart from advising on the local law Corporate and Employment issues in Kenya, she also provided legal support and compliance as well as interacted with external counsel at the outstations throughout the KQ network which then comprised of 52 countries, 43 of which are in Africa.
During her time with Kenya Airways, Teodosia was a key team member in a number of high-level transactions and/or projects including,
- Project Safari: The Financial Restructuring plan undertaken by Kenya Airways in 2017/18 with all its creditors including the lessors and aircraft financiers and local banks.
- Rights Issue: The Capital Raising undertaken by Kenya Airways in 2012 to raise Capital for its fleet expansion program.
- The B787-8 and B777s aircraft acquisition by Kenya Airways supported by Export-Import Bank of the United States of America (US Exim), and
- The Embraer E190 aircraft acquisition by Kenya Airways supported by African Export-Import Bank (Afreximbank) and Standard Chartered Bank.
- Sale and Leaseback (SLB) aircraft transactions undertaken by KQ on its B787-8 aircraft with BOC Aviation Limited (BOCA) and AerCap Ireland Limited (AerCap).
Teodosia joined Kenya Airways as the Principal Legal Counsel in January 1996 from Standard Chartered Bank (K) Limited and has been at senior managerial level for the last 22 years. She left the Airline briefly between May 2006 and March 2011. During this period, she worked with M/S David Lawrence & Associates, an Executive Search firm in Singapore until 2008 then later joined Qatar Airways as a Contract/Legal Specialist until February 2011. Teodosia rejoined the Kenya Airways in March 2011 as Head of Legal Services, an assignment she undertook with dedication for over 6 years, before being elevated to Ag General Counsel & Corporate Affairs Officer on 3rd November 2018.
Prior to joining the Kenya Airways, earlier in her career, Teodosia worked with Standard Chartered Estate Management (a Subsidiary of Standard Chartered Bank Limited) as a Legal Officer, Kenya Post Office Savings Bank Limited (Postbank) as Company Secretary and the Attorney General’s Office as a State Attorney.
Teodosia holds a Bachelor of Laws Degree (LLB) (Honours) from the University of Nairobi and a postgraduate Diploma from the Kenya School of Law. She is also a Certified Company Secretary (K) and holds a Post graduate Professional Diploma in Industrial Relations from the National University of Singapore and Certificate in Legislative Drafting from the University of West Indies, Cave Hill Campus. She has over the years undertaken IATA training in International Air Law, Airline Contract Law, Airline Purchase Contracts, Operating Leases and Aircraft Finance Leases.
