Andrew Ailwood

In the TMT space, technologies and commercial models are evolving at an incredible pace. When advising clients, my focus is not just on getting the deal done today, but sharing my market knowledge to ensure the agreement and my advice remain fit for purpose as these changes crystallise over the years to come.

Andrew has over 20 years’ experience as a corporate and commercial lawyer advising in the media, technology and telecommunications sectors. Andrew has advised private and listed companies, and public sector organisations, both externally and as part of an in-house team.

Andrew specialises in content distribution (particularly via new technologies), complex commercial arrangements (including IT, services agreements, licensing and distribution), content production, private M&A and joint ventures. Andrew also provides tailored commercial intellectual property advice and e-commerce, telecommunications and media regulatory advice.

During almost a decade at the BBC, Andrew led various legal and business affairs teams, advising on service distribution, IT, technology procurement, telecommunications, production, commissioning, and rights acquisition. Prior to the BBC, Andrew advised on carriage agreements, M&A and joint ventures at Sky.

While at Spencer West, Andrew has advised on:

  • television, radio and film production, rights licensing and distribution, and content financing;
  • private M&A in the TMT sector;
  • complex technology and management services agreements, including in the healthtech and cleantech spaces;
  • intellectual property protection and management – across copyright, trade mark and patent; and
  • sports law and music rights.

Prior to Sky, Andrew was in the corporate TMT teams at Freshfields Bruckhaus Deringer in London and at Allens Arthur Robinson (now Allens in alliance with Linklaters) in Sydney. Andrew has advised or acted against key market leading businesses, including the BBC, Fox Studios, Sky, Disney, NBCUniversal, Eurosport, BT, SBS, Twitter, TikTok, Netflix, Amazon, Samsung, Virgin Media, Sony, News Corp, Warners Music, the EBU, Reuters, APTN, AFP, PA, ITV, Vodafone, Three, O2, Tesco Telecoms, CBS, ABC (Australia), TVNZ, NHK, Macquarie Media and Endemol. In 2023, Andrew led the BBC public services’ legal and business affairs team for the Eurovision Song Contest in Liverpool.

Andrew is qualified in England and Wales and New South Wales and is able to advise on either laws. He is founding partner of the Sydney office of Spencer West, and regularly visits clients in the UK and Europe.
